Terms of Service

Including the subscription terms. Plain English where plain English is possible; the version you accept is recorded, with the date.

The service is Successor.pro, operated by Successor.pro Inc., a corporation incorporated under the Canada Business Corporations Act (“we”, “us”). By creating an account and ticking the acceptance box you agree to these Terms and the Privacy Policy. We record which version you accepted and when.

1 · What the service is — and the one thing it never is

Successor.pro is an AI-powered coaching and document-preparation platform that helps you make your business run with less of it going through you, and more transferable: it interviews you, structures what you tell it, and produces working documents (procedures, checklists, decision records, a dependency map, continuity documents, and — on the exit programme — a plan and a Professional Handoff Brief).

It does not provide financial, legal, tax, valuation, investment, safety, or any professional advice — ever, in any feature. It never computes or opines on what your business is worth. Its outputs organize your own statements and decisions so that your accountant, lawyer, financial planner, broker, or regulator can do their best work; decisions, and the professional advice behind them, are yours and theirs. Where a question needs a professional, the service says so and stops. No professional–client relationship of any kind is created by using the service.

AI candour. The coaching is AI. It is instructed carefully and tested adversarially, and it can still be wrong, incomplete, or generic. Verify anything consequential with your own professionals before acting on it.

2 · Accounts

You must be of the age of majority in your province or state, able to form a binding contract, and acting for a business you own or help run. Keep your credentials safe; you are responsible for activity under your account. One owner per account.

3 · Subscriptions and billing

  • The subscription.Successor.pro’s working rhythm is a monthly subscription. The price and the currency are shown plainly on the order page before you confirm your first charge; it renews monthly until you cancel, and your monthly price does not go up for as long as your subscription stays active.
  • 30-day money-back guarantee. Not satisfied in the first 30 days after your first charge? Tell us (reply to any of our emails, or from your account page) and we refund that charge in full. This guarantee is in addition to any rights the law gives you.
  • Cancel anytime. Self-serve from your account page. Cancellation takes effect at the end of the paid period; no further charges. Your account and its contents persist per the Privacy Policy until you delete the account or ask us to.
  • Billing mechanics and renewal. Subscriptions are monthly and renew automatically each month until cancelled. The price, currency, and renewal terms are shown plainly before you confirm your first charge; each charge produces an emailed receipt; applicable taxes are added and shown at checkout where law requires. Payments are processed by Stripe; card details are held by Stripe and never touch our systems.
  • Price changes. We may change our prices for new subscribers. The price you subscribed at stays yours for as long as your subscription stays active; if you cancel and later come back, the price at that time applies.
  • Complimentary accounts. Accounts admitted by invitation code are free of charge, permanently, and are never asked for payment details. All other terms apply to them.
  • Adviser codes. Some advisers share a code with their clients. The code records the referral and nothing else. Advisers receive no payment or thing of value from us for referrals.
  • The exit programme’s founding price (when it opens). The exit programme’s founding price is $89 CAD/month (Canadian billing) or $69 USD/month(US billing). There is no limit on founding places. As with every subscription here, a founding member’s monthly price does not go up while their subscription stays active; if you cancel and later come back, the price at that time applies.

4 · Your content, our platform, and acceptable use

Yours. What you put in, and the documents the service builds from it, are yours. You grant us the limited licence needed to operate the service — to store, process, and transmit your content to the processors named in the Privacy Policy (including the AI providers that power the coaching), only to run the service for you.

Ours. The platform — software, prompts, coaching method, designs, and branding — belongs to us; you get the right to use the service while subscribed and no other rights in it.

Acceptable use.You agree not to: use the service for anything unlawful; attempt to access another person’s account or data; probe, scan, or test the security of the service without written permission; scrape, crawl, or bulk-extract the service or drive it by automated means; reverse-engineer the platform or use it to build or train a competing service; misrepresent who you are or resell access; upload malicious code; or use outputs to provide professional advice to third parties as though the service were the professional. We may suspend accounts that do these things (§6).

5 · Warranties, liability, and indemnity

As-is.The service is provided “as is” and “as available,” without warranties or conditions of any kind, express or implied — including merchantability, fitness for a particular purpose, and non-infringement — except where the law does not allow such exclusions. A young product operated by a small team, improving continuously: we aim for availability and recoverability, but do not warrant uninterrupted or error-free operation.

Liability cap. To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising out of or relating to the service will not exceed the greater of (a) $100 CAD and (b) the amounts you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, lost data, or loss of goodwill, even if advised of the possibility.

What this does not exclude. Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law (including any non-waivable consumer rights in your province or state), and nothing limits liability for our fraud or wilful misconduct.

Indemnity. You will indemnify us against third-party claims arising from your unlawful use of the service or your material breach of these terms, excluding any portion caused by our own breach or misconduct.

6 · Suspension, termination, and ending things

You can cancel (§3) or have your account and data deleted (Privacy Policy) at any time. We may suspend or terminate your account for material breach of these terms; if we do, we refund any unused prepaid period unless the breach was serious (fraud, unlawful use, or harm to the service or other users). We may retire the service with at least 60 days’ notice, in which case unused prepaid periods are refunded pro-rata.

7 · The legal frame

Governing law and forum. These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, excluding conflict-of-law rules. Disputes will be resolved exclusively in the courts of the Province of Ontario, sitting in Ottawa — deliberately courts, not arbitration — except that either party may seek injunctive relief in any competent court, and nothing prevents you from bringing a claim in your local small-claims court or under non-waivable local consumer law.

Changes to these terms. We can update these terms; we will give notice, date the change, and for material changes ask you to accept again before continuing. The version you accepted is always recorded.

The boilerplate that keeps it working. If any provision is unenforceable, the rest stands (severability). These terms plus the Privacy Policy are the entire agreement about the service. You may not assign your account; we may assign these terms to a successor of the business (an acquirer or a reorganized entity) with notice. Notices from us come to your account email; notices to us go to matt@successor.pro. Our failure to enforce a provision is not a waiver of it.
